Terms of service for wikiaio
This English text is a translation for convenience. The Danish version prevails.
In short: you pay for editors, readers are free, your content is yours, and you can always take it with you. We process it only in the EU.
1. Parties
wikiaio is provided by Sjøbeck Digital, CVR 34358702, Høsten Teglværksvej 23, 4690 Haslev, Denmark (“we”). The agreement is made with the organisation that creates a workspace (“the customer”). The person creating the workspace confirms they are authorised to bind the organisation.
2. The service
wikiaio is a knowledge base with pages, search and an AI tool that answers questions from the customer's own pages. It can be used in the browser at the customer's own address (name.wikiaio.eu) and in Microsoft Teams and Outlook. Features marked “coming” on the pricing page are not part of the agreement until they launch.
3. Trial
A new workspace has a free 14-day trial with every feature and no card. If the customer doesn't choose a plan, everyone can still read the pages and the customer can export everything, but not edit or ask AI questions.
4. Plans, seats and prices
- Billing is per paid seat. Owners, admins and editors are paid seats; readers are free.
- Standard is billed for at least 2 seats. Prices are on the pricing page, in euro excl. VAT.
- Readers are unlimited under fair use. In unusual cases, e.g. many thousands of readers per editor, we contact the customer to find a solution; we don't cut off access without notice.
- AI questions are a monthly pool per workspace (e.g. 200 per paid seat on Standard). When the pool is used up, search and reading still work. Extra packs can be bought.
- Extra seats apply straight away and are charged pro rata. Fewer seats apply from the next renewal.
5. Payment
Payment happens outside Microsoft, via our payment provider Mollie B.V. (Netherlands), by card or invoice depending on the plan. Enterprise and public-sector customers can be invoiced via NemHandel once it launches. The subscription renews automatically for the same period (month or year) until cancelled. If payment is missing, we may, after written notice of [LEGAL: number of days], limit the workspace to reading and export.
6. Cancellation
The customer can cancel to the end of the paid period in the workspace settings or by writing to support@wikiaio.eu. Paid periods are not refunded unless the law requires it. We can terminate with [LEGAL: notice period] notice, or immediately in case of material breach.
7. Customer data
- The customer owns all content in the workspace. We use it only to provide the service, under the data processing agreement.
- Content is not used to train AI models. [TO BE CONFIRMED WITH SCALEWAY]
- The customer can export everything as Markdown and HTML at any time.
- After cancellation, the customer can export for [OPEN: 30 days or 12 months]. Then the workspace's database is deleted and its encryption key destroyed, so the data can't be restored from backups either.
8. AI answers
AI answers use only pages the asking user can access and always show their sources. Answers can be incomplete or wrong, because they depend on the pages and on the language model. The customer is responsible for assessing answers before relying on them, especially in matters of health, safety and the exercise of public authority.
9. Customer responsibilities
- The customer is responsible for the content and for who is invited and given access.
- The service must not be used for unlawful content, to attack other systems or to circumvent access control.
- The customer must protect its sign-ins and tell us if they may be compromised.
10. Operation and availability
We aim for high availability but give no guaranteed uptime without a separate SLA (Enterprise). Planned maintenance is announced where possible. The service is always reachable without Microsoft at the customer's own address.
11. Liability
[LEGAL: limitation of liability, e.g. total liability capped at fees paid in the last 12 months; no liability for indirect loss; exceptions for intent and gross negligence]
12. Changes
We may change terms and prices with at least [LEGAL: 30 days] notice by e-mail. Price changes apply from the next renewal.
13. Governing law and venue
The agreement is governed by Danish law. Disputes are settled by [LEGAL: venue].
